Supplier Terms of Use
For companies answering or passing on requests on Transpareo's supplier page.
1. Scope
Transpareo AG, Tech Cluster Zug, Oberallmendstrasse 18, 6300 Zug, Switzerland (hereinafter “Transpareo”) operates the supplier page. This is the page opened by a link to a request for information about a product or a component (hereinafter “request”). A request is made either by a customer of Transpareo from its workspace (hereinafter “workspace”) or by a supplier passing a request on to its own suppliers.
These terms apply between Transpareo and the company a link is addressed to (hereinafter “supplier”). The supplier accepts them when it sends an answer or passes a request on. The version whose date is shown at acceptance applies.
The supplier page is free of charge for the supplier.
2. Purpose
On the supplier page, the supplier can:
- answer the questions of a request and send pictures with its answer,
- pass part of the questions on to its own suppliers,
- review the answers of its own suppliers, take them into its own answer or send them back with a remark.
The supplier page serves exclusively this exchange between businesses.
3. Access without an Account
The supplier page requires no account. Access is given by the link and a PIN of six to twenty digits. Either the sender of the request issues the PIN and communicates it another way, or the supplier chooses it on the first open.
After five wrong entries in a row, the page locks the link for 15 minutes. A correct PIN opens the request in that browser for twelve hours, or until the browser is closed.
4. Link and PIN
The link and the PIN are for the supplier the request is addressed to. It may make them available to its employees who handle the request on its behalf. It keeps both confidential towards third parties and passes a request on only through the function for passing it on to its own suppliers.
Whatever is sent with the supplier’s link and PIN is deemed sent by the supplier. If an unauthorised person learns the link or the PIN, the supplier informs the sender of the request without delay. The sender can issue a new PIN or revoke the link.
5. On Whose Behalf Transpareo Processes
When the supplier answers a request, Transpareo processes the answer on behalf of whoever made the request: the customer whose workspace it comes from, or the supplier that passed it on. That party is responsible for the answer. What the supplier page stores in doing so is set out in the “Supplier page” section of Transpareo’s privacy policy.
When the supplier passes a request on to its own suppliers, Transpareo processes the links passed on, the answers to them and the review of those answers on behalf of the supplier. For this, the supplier concludes Transpareo’s data processing agreement (DPA) by passing the request on.
6. What the Workspace Sees
The workspace a request comes from sees the supplier’s answer with the pictures sent, once it has been sent. It also sees when the link was last opened and when it was answered, and in its log the actions on the page (opening, unlocking, choosing the PIN, uploading, sending, locking), each with time and IP address. Texts the supplier enters but does not send stay in its browser; pictures are uploaded as soon as they are chosen.
Of requests passed on, the workspace sees only the number of requests passed on below its own request, across all tiers. It does not see to whom a request was passed on, which questions, links, answers and remarks belong to it, or who wrote them.
Where the supplier takes values from the answer of one of its own suppliers into its own answer and sends it, they become part of its answer. They reach the workspace like any other value of that answer.
7. What the Supplier's Own Supplier Sees
The page of a request passed on appears in Transpareo’s frame, without the workspace’s logo and name, at an address of its own for suppliers. It names as the sender the name the supplier gives itself when passing the request on. It shows the questions passed on and the supplier’s comment.
The page shows the record with its name, picture, brand, category and one identifier (GTIN or article number), where available, unless the supplier hides it. If the supplier hides it, the page names only the label the supplier writes for it. Even then, individual questions, such as for the GTIN or for components, and pre-filled values can reveal whose product it is; the form points this out when the request is passed on.
8. Content
The supplier is responsible for the accuracy of its information. It sends only content it is entitled to pass on and no unlawful content. It sends personal data of third parties only insofar as it is authorised to and the questions require them.
The page accepts pictures in the formats JPG, PNG and WebP up to 20 MB, at most ten at a time per link. Before storing them, it removes the pictures’ metadata, such as location and camera.
An answer changes the record only once the sender has reviewed and adopted it. Whether and how it adopts the information is the sender’s decision.
9. Language and Machine Translation
The page appears in one of the workspace’s languages, chosen by the supplier. It shows questions, notes and existing values in the wording the workspace keeps for that language; the workspace may have machine-translated these versions. The page itself translates nothing, including the sender’s comment.
After sending, Transpareo machine-translates the texts the supplier writes with DeepL into the workspace’s other languages, insofar as the workspace has the information in question translated. Countries, dates, yes and no and other fixed values stay untranslated. The text in the language the supplier wrote it in is kept and is authoritative. Machine translations may contain errors.
Transpareo translates the answers of the supplier’s own suppliers in the same way.
10. Availability and End of a Link
Transpareo operates the supplier page with reasonable care but owes no particular availability. Maintenance work and disruptions are possible.
A link ends on the expiry date its sender sets, when it is revoked, when the record it asks about is removed, or when none of the details it asks for can be read any more. A link passed on ends no later than the link it was passed on from; when that link ends, every link below it ends.
11. Liability
Transpareo is liable without limitation for intent and gross negligence. Liability for slight negligence is excluded insofar as legally permissible. Transpareo is not liable for the content of requests and answers, nor for how the sender of a request uses the answers. Liability under mandatory data protection law remains unaffected.
12. Changes
Transpareo may change these terms. A changed version carries a new date and applies from the next answer or request passed on with which the supplier accepts it.
13. Final Provisions
Swiss law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Zug, Switzerland.
Should individual provisions of these terms be invalid, the validity of the remaining provisions remains unaffected.
